Community Guidelines and Member Agreement

Welcome to the Fractional COO Collective!


Led by Jen Hamilton and sponsored by Hamilton COOs, this community is designed to empower and support Fractional Chief Operating Officers and Fractional Integrators like you. Our mission is to help you refine your business development practices, enhance how you serve your clients and achieve sustained growth of your business in a collaborative and respectful environment.

Community Guidelines and Values 

1. Respectful Communication:
  • Always communicate with respect and consideration for others' ideas and perspectives.
  • Avoid offensive, disparaging, or political remarks that could harm the inclusive nature of our community.
2. Collaboration and Support:
  • Engage with fellow members in a way that promotes mutual learning and support.
  • Share knowledge, experiences, and resources generously to help others overcome common challenges.
3. No Solicitation:
  • Refrain from using the community as a platform for solicitation unless you are sharing in the designated sections on the platform to promote your services or opportunities.
  • Focus interactions on mentorship, learning, and sharing rather than on promoting personal business interests or services.
4. Privacy and Confidentiality:
  • Respect the privacy and confidentiality of shared information within the group.
  • Do not disclose or distribute any member’s or their client’s information without their expressed consent.
5. Positive Engagement:
  • Encourage and maintain a positive, engaging environment that fosters professional development and personal growth.
  • Actively participate in discussions, challenges, and events to enrich the community experience for you and all members.

Referral Arrangements

6. Referral Encouragement:

While the Fractional COO Collective does not mandate how or that members refer business to one another, we strongly encourage fostering a supportive network through mutual referrals. When a member receives business from a referral made by another member, it is encouraged that the receiving member recognizes the referral in a tangible way.

a. Referral Recognition: Members who gain a client through another member's referral are encouraged to provide a referral fee to the referring member or offer a discount to the referring member’s client. This gesture not only strengthens professional ties but also enhances the collaborative spirit of our community.
b. Suggested Referral Fee: As a guideline, we suggest a referral fee of ten percent (10%) of the revenue generated from the new client for the first six months of engagement, payable after the cash has been collected. This rate is recommended as fair compensation for the referring member and as an incentive to maintain the quality and integrity of referrals.
c. Individual Referral Agreements: Members are advised to establish their own referral agreements to clarify the terms and expectations associated with such arrangements.
d. Good Faith and Fair Dealing: All referral agreements and interactions should be conducted in good faith and with a commitment to fair dealing, reflecting the values and professional standards of the Fractional COO Collective.

7. Limitation of Liability:

Members agree that Hamilton COOs, as the sponsor of the Fractional COO Collective, will not be held liable for any direct, indirect, incidental, special, consequential, or exemplary damages resulting from the use of, or reliance on, any services provided by the Fractional COO Collective or any information disseminated by Hamilton COOs.

8. Intellectual Property Rights:

All content, materials, and resources provided by Hamilton COOs and the Fractional COO Collective, including but not limited to documents, presentations, advice, logos, and trademarks, are the intellectual property of Hamilton COOs and/or the Fractional COO Collective. Members may not reproduce, distribute, or create derivative works from this material without express written permission from Hamilton COOs.

9. Indemnification:

Members agree to indemnify and hold harmless Hamilton COOs, its owners, and any of its affiliates or agents from and against any and all claims, losses, expenses, demands, or liabilities, including attorneys' fees and costs, incurred by Hamilton COOs in connection with any claim by a third party (including any intellectual property claim) arising out of

a. materials and content submitted by the member to the Fractional COO Collective,
b. any transactions or interactions between the member and any other member of the Fractional COO Collective, or
c. breach of these terms by the member.

10. Dispute Resolution:

Any disputes arising out of or related to this agreement or membership in the Fractional COO Collective shall be resolved first through friendly negotiation. If the matter cannot be resolved by negotiation, then the dispute will be resolved by mediation or binding arbitration at Hamilton COOs' discretion. Members agree that the venue for any mediation or arbitration will take place in San Diego County, California.

11. No Guarantee:

Hamilton COOs does not guarantee the outcomes of any guidance or mentoring provided through the Fractional COO Collective. Members accept that business results are influenced by a variety of factors beyond the control of Hamilton COOs and the Fractional COO Collective.

12. Membership Term:

Membership in the Fractional COO Collective is ongoing and will continue to be in effect unless terminated by either the member or the Fractional COO Collective according to the terms outlined in this agreement.

13. Continuation of Membership:

You understand that continued membership is contingent upon timely payment of membership fees as stipulated, and adherence to the principles and guidelines established by the Fractional COO Collective.

14. Fee Adjustments:

Hamilton COOs reserves the right to adjust membership fees at any time. Any changes to the fee structure will be communicated to all members at least 30 days prior to the effective date of the new fees.

Members have the right to terminate their membership if they do not agree with the fee adjustment. Continued payment of membership fees after the adjustment has been communicated and taken effect will be considered acceptance of the new fee structure.

15. Termination Due to Non-Payment:

Membership fees are due as specified in the initial membership payment webpage and subsequent renewal notices. Failure to pay these fees by the specified due date results in a suspension of membership privileges.

Members will receive a notice of delinquency to settle any outstanding fees. If payment is not received by the end of the grace period, membership will be automatically terminated.

16. Reinstatement of Membership:

Former members whose membership was terminated due to non-payment may apply for reinstatement. Reinstatement is not guaranteed and will be considered based on the former member’s past membership history at the discretion of Hamilton COOs’ leadership.

17. Rights Upon Termination:

Members who pay the annual membership fee and choose to terminate their membership may be eligible for a refund equal to the amount paid for the membership period not yet incurred unless the member was terminated by Hamilton COOs for violation of this agreement or community guidelines.

No refunds will be provided for members paying monthly or for any terminations due to violations of the agreement or guidelines.

18. Amendments:

Hamilton COOs reserves the right to amend the terms of this agreement at any time. All members will be notified of any changes and continued participation in the Fractional COO Collective will constitute acceptance of the new terms.

Acceptance of Terms

You have read, understood, and agree to be bound by the terms and conditions of the community guidelines and membership agreement as outlined herein.

Your payment of the membership fee signifies your acceptance of these terms and your commitment to adhere to the community guidelines and other obligations as described.

By joining the Fractional COO Collective, you agree to uphold these values and terms and engage in behaviors that contribute positively to our shared goals. This agreement is essential to ensuring that our community remains a supportive space where all members can thrive.
